These Terms & Conditions govern the purchase and use of RouteOS software, website services and related products and services.
RouteOS products are intended for business customers.
By purchasing, installing or using RouteOS, you confirm that you are acting wholly or mainly for purposes relating to your trade, business or profession and agree to these Terms.
1. About RouteOS
RouteOS provides website and online booking software for taxi, private hire, airport transfer and chauffeur businesses.
Depending on the product purchased, RouteOS may include:
- online journey quotation
- online booking
- configurable pricing
- vehicle configuration
- booking management
- WordPress integration
- website setup and customisation
- supported third-party integrations
RouteOS is software only.
RouteOS does not provide transportation services and does not act as a taxi operator, private-hire operator, dispatcher, broker, carrier or transport provider.
The customer remains entirely responsible for operating its transport business and providing any journeys booked through RouteOS.
2. Business Customers Only
RouteOS products and services are offered for business use.
By purchasing RouteOS, you confirm that you are purchasing in the course of business and not primarily as a consumer.
If RouteOS expressly agrees to sell a product or service to a consumer, different statutory rights may apply and those rights are not excluded by these Terms.
3. Orders and Payment
The price payable is the price:
- displayed at checkout,
- shown on the relevant order page,
- stated in an invoice, or
- otherwise agreed with RouteOS in writing
at the time the order is placed.
Prices, products and promotions may change from time to time.
A temporary promotion does not alter the terms of an order already completed.
Unless expressly stated otherwise, RouteOS software is supplied using a one-off software licence rather than a recurring monthly RouteOS software subscription.
Third-party services may have separate charges.
4. No Refunds
RouteOS software licences, digital products, setup services and customisation services are supplied for business use.
Except where required by law or expressly agreed by RouteOS in writing, purchases are final and non-refundable once any of the following has occurred:
- the RouteOS software or licence has been supplied or made available;
- installation access has been provided;
- installation has begun;
- website setup has begun;
- configuration has begun;
- customisation work has begun; or
- other work relating to the order has commenced.
Refunds will not normally be provided because:
- the customer changes their mind;
- the customer no longer requires the product;
- the customer chooses not to use RouteOS;
- the customer later chooses another provider;
- the customer’s business circumstances change;
- the customer fails to provide information or access needed to complete setup; or
- a third-party service used with RouteOS changes its pricing, features or terms.
Nothing in this section removes any right or remedy that cannot lawfully be excluded.
If RouteOS is unable to supply a material part of a purchased product or service for reasons within RouteOS’s control, RouteOS may remedy the issue, provide an appropriate alternative, or refund the amount relating to the undelivered part.
5. RouteOS Software Licence
Unless agreed otherwise in writing, RouteOS grants the purchasing business a non-exclusive and non-transferable licence to use RouteOS for its own business operations.
Where the applicable Company Edition licence permits it, RouteOS may be used across multiple websites owned or operated by the same licensed company.
This does not permit:
- resale of RouteOS;
- sublicensing RouteOS;
- redistribution of RouteOS;
- providing RouteOS installations to unrelated third-party businesses;
- sharing licence access with unrelated businesses;
- removing intellectual-property notices;
- copying RouteOS for resale or commercial distribution; or
- reverse engineering RouteOS except where applicable law expressly permits it.
Installation or setup included with a purchase applies only to the number of websites expressly included in the purchased package or order.
Additional installations, configuration or development may be charged separately.
6. Website + RouteOS Services
Where a RouteOS purchase includes a website, the standard RouteOS website package is based on an existing professionally designed RouteOS website structure that is customised for the customer’s business.
Customisation may include items such as:
- business information
- branding
- colours
- logo
- images
- website content
- vehicles
- services
- locations
- RouteOS booking configuration
Unless expressly agreed otherwise, the standard package is not an unlimited or fully bespoke web-design engagement.
Additional custom design, development, integrations or revisions outside the agreed scope may be quoted separately.
The customer is responsible for providing information, branding, content and access reasonably required to complete the project.
Any setup or completion times displayed by RouteOS are estimates unless expressly agreed as a fixed deadline in writing.
7. WordPress and Hosting
RouteOS websites and the RouteOS Booking Plugin operate within WordPress environments.
Compatibility depends on factors including:
- WordPress version
- theme
- plugins
- PHP/server configuration
- hosting environment
- third-party integrations
RouteOS does not guarantee compatibility with every WordPress configuration, theme, plugin or hosting provider.
Where a compatibility problem is caused by an existing third-party theme, plugin, server configuration or external service, additional work may be required.
The customer remains responsible for its own hosting account, domain and third-party services unless these are expressly included in an order.
8. Customer Responsibilities
The customer is responsible for:
- providing accurate business information;
- configuring or approving fares and pricing;
- checking booking and journey information;
- complying with transport licensing and regulatory requirements;
- deciding whether to accept or reject bookings;
- managing drivers and vehicles;
- fulfilling customer journeys;
- obtaining any customer consents required by law;
- maintaining appropriate insurance and licences;
- maintaining appropriate backups of its website and business data; and
- using RouteOS lawfully.
RouteOS does not make operational decisions on behalf of the customer.
9. Quotes, Pricing and Bookings
RouteOS can calculate journey quotations using pricing rules configured by the customer.
The customer is responsible for checking that:
- fares are configured correctly;
- pricing rules remain current;
- vehicle information is accurate; and
- bookings are suitable before they are fulfilled.
RouteOS does not guarantee that every quote, route, distance, journey calculation or third-party mapping result will always be accurate.
Online booking does not necessarily mean automatic acceptance.
Where configured, bookings may be received as pending and reviewed by the customer before confirmation.
10. Third-Party Services
RouteOS may integrate with or rely upon third-party services such as:
- mapping services and APIs
- payment processors
- email providers
- SMS providers
- hosting providers
- WordPress
- other software or infrastructure providers
These services are not controlled by RouteOS.
Third-party services may:
- charge their own fees;
- change their pricing;
- change their APIs;
- change or remove functionality;
- experience downtime; or
- change their terms.
RouteOS is not responsible for failures, outages, changes or charges caused by third-party providers.
11. Payments
Where RouteOS supports online payments, payment processing is provided through supported third-party payment providers.
RouteOS does not itself act as the card/payment processor unless expressly stated.
The customer is responsible for:
- maintaining its payment-provider account;
- complying with the provider’s terms;
- applicable transaction fees; and
- handling refunds or payment disputes relating to journeys provided by the customer.
12. Updates and Support
Any included update, bug-fix or support period will be the period stated:
- on the product page,
- at checkout,
- in the relevant order confirmation, or
- in a separate written agreement
at the time of purchase.
A RouteOS purchase does not include lifetime support, lifetime custom development or unlimited future customisation unless expressly stated in writing.
Updates may address:
- bug fixes
- security
- compatibility
- maintenance
- product improvements
RouteOS is not obliged to add a requested feature merely because a customer requests it.
Custom development may be quoted separately.
13. Intellectual Property
RouteOS and its underlying software, code, design, trademarks, branding and intellectual property remain the property of RouteOS or the relevant rights holder.
Purchasing RouteOS gives the customer a licence to use the software.
It does not transfer ownership of the RouteOS software itself.
For Website + RouteOS projects, the customer controls its own:
- business content
- images it owns or supplies
- branding
- WordPress pages
- domain
- hosting account
subject to any applicable third-party licences and the RouteOS software licence.
14. Data Protection
Each party is responsible for complying with applicable data-protection law in relation to the personal data it controls.
The customer is generally responsible for passenger, driver, customer and booking data collected through its own RouteOS installation and for ensuring it has an appropriate lawful basis and privacy information for that processing.
RouteOS may separately act as a controller for information collected directly through routeos.io, including enquiries, purchases, support communications and account administration.
Where RouteOS processes personal information on behalf of a customer, the parties will comply with any applicable data-processing obligations.
See the RouteOS Privacy Policy for further information.
15. Availability and Security
RouteOS is software and may occasionally be affected by:
- bugs
- software conflicts
- maintenance
- hosting failures
- internet failures
- third-party API failures
- security incidents
- WordPress or plugin updates
RouteOS does not guarantee uninterrupted or error-free availability.
RouteOS will take reasonable steps appropriate to the service being provided, but customers should maintain appropriate backups and operational safeguards.
16. Warranties
Where RouteOS provides installation, configuration, website or other services, those services will be carried out with reasonable care and skill.
Except as expressly stated in these Terms or required by law, RouteOS does not guarantee:
- any particular number of bookings;
- any increase in revenue;
- any increase in website traffic;
- a particular search-engine ranking;
- uninterrupted availability;
- compatibility with every third-party product; or
- that RouteOS will meet every possible business requirement.
The customer is responsible for deciding whether RouteOS is suitable for its business.
17. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
To the extent permitted by law, RouteOS will not be liable for indirect or consequential losses arising from use of RouteOS, including:
- loss of profit;
- loss of revenue;
- loss of anticipated savings;
- loss of goodwill;
- loss of business opportunity; or
- losses arising from third-party services outside RouteOS’s reasonable control.
RouteOS does not include a fixed monetary liability cap under these Terms.
The customer remains responsible for maintaining reasonable safeguards, backups and business continuity procedures appropriate to its operations.
18. Customer Claims and Indemnity
The customer remains responsible for the transportation services it provides.
To the extent permitted by law, the customer will be responsible for claims, losses or liabilities arising from:
- journeys supplied by the customer;
- the customer’s drivers or vehicles;
- inaccurate information supplied by the customer;
- unlawful use of RouteOS;
- the customer’s breach of applicable transport or data-protection law; or
- the customer’s breach of these Terms.
This section does not require the customer to indemnify RouteOS for losses caused by RouteOS’s own negligence, fraud or breach of these Terms.
19. Suspension and Termination
RouteOS may suspend or terminate access to a licence where reasonably necessary because of:
- non-payment;
- material breach of these Terms;
- unlawful use;
- unauthorised resale or redistribution;
- infringement of RouteOS intellectual property;
- security risks; or
- misuse likely to cause harm to RouteOS or third parties.
Where reasonably practicable, RouteOS will provide notice and an opportunity to remedy a remediable breach.
Termination does not create a right to a refund where the purchase is otherwise non-refundable under these Terms.
20. Changes to RouteOS
RouteOS may update, maintain or change its software over time.
Features may be:
- improved
- replaced
- modified
- deprecated
- removed
where reasonably necessary for maintenance, compatibility, security, third-party changes or future development.
RouteOS will not deliberately remove the core purpose of a paid product merely to avoid performing the agreed contract.
21. Force Majeure
RouteOS will not be responsible for delays or failure caused by events outside its reasonable control, including:
- internet or server outages
- hosting-provider failures
- third-party service outages
- cyberattacks
- natural disasters
- government action
- labour disputes
- power failures
- telecommunications failures
22. Changes to These Terms
RouteOS may update these Terms from time to time.
The current version will be published on routeos.io with an updated revision date.
Changes will not retrospectively alter the commercial terms of a completed order unless:
- required by law;
- required for security or technical reasons; or
- otherwise agreed with the customer.
23. Severability
If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
24. Waiver
If RouteOS does not immediately enforce a right under these Terms, that does not mean that right has been waived.
25. Assignment
The customer may not transfer its RouteOS licence or rights under these Terms to another business without RouteOS’s written consent.
RouteOS may assign its rights and obligations as part of a sale, transfer or restructuring of the RouteOS business, provided this does not materially reduce the customer’s rights.
26. Entire Agreement
These Terms, together with the applicable:
- order;
- invoice;
- product description;
- licence terms; and
- any separate written agreement
form the agreement between RouteOS and the customer regarding the purchased product or service.
27. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over disputes arising from these Terms.
